Terms of Service

Last updated: 16 October 2026

These terms are an agreement between you ("you", the customer) and Procura Dynamics ("Unstale", "we"). They apply when you request a scan, place an order, or subscribe to a plan on unstale.dev.

1. What we do

We upgrade software applications from one version of a language or framework to a newer one (an "Upgrade"). We also offer a free scan with a fixed-price quote (a "Scan"), and an ongoing maintenance plan ("Keep Current").

How the work is done. Upgrades are carried out mainly by AI software, under a written process and review checklist, and every delivery is checked by a person before it is sent to you. You agree to the work being done this way.

2. Scans and quotes

A Scan is free and you are under no obligation to buy. The Scan report states a fixed price, how it was worked out, what is included, what is excluded, and any decisions we need from you. A quote is valid for 30 days. The price does not change after you accept it unless you change the scope (for example, a different target version or a new repository).

3. Orders and payment

An order starts when you accept a quote and pay in full through PayPal. Prices are in US dollars and exclude any sales tax or VAT, which is added where required. We start work when we have payment, access to the code, and your answers to any decisions listed in the Scan report.

4. What you provide

You confirm that:

  • you own the code you send us or are authorised to have it modified;
  • you will not send production databases, live credentials, or personal data that the Upgrade doesn't need. If tests need secrets, use test values;
  • your test suite and build, as they run on the day of the Scan, are the agreed measure of whether the Upgrade works.

5. Delivery

We deliver the Upgrade as a pull request (or patch) to your repository, with a description of every change, every decision made, and any steps needed at deployment. Delivery estimates are estimates, not guarantees.

Deploying is your decision and responsibility. We do not deploy to your servers. You should review the pull request, test it in a staging environment, and keep backups before deploying.

6. Our guarantee

If the delivered pull request does not pass your test suite and build (excluding tests that already failed, or that need network access we were not given, at the time of the Scan) and we cannot fix it within 10 business days of you telling us, you get a full refund. You also get a full refund if you reject the pull request, for any reason, within 14 days of delivery and before merging it. If you find a problem caused by our changes within 30 days of merging the pull request, we fix it free. Details are in the Refund Policy, which is part of these terms.

7. Keep Current plan

Keep Current is billed monthly in advance and renews automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing month and is not refunded pro rata. The plan covers the work described on the pricing page for codebases up to 100,000 lines. Work outside that scope is quoted separately.

8. Ownership

Your code stays yours. When you have paid for an order, all rights we have in the changes we make for you pass to you. We keep no copy of your code after the retention period in our Privacy Policy, except our own general know-how, checklists and tools, which remain ours and contain none of your code.

9. Confidentiality

We treat your code and anything you tell us about your business as confidential. We use it only to perform the Scan and the Upgrade, and share it only with the service providers named in our Privacy Policy, who process it for that purpose. We never use your code to train AI models, and we use AI providers whose terms prevent them from doing so.

With your permission only, we may describe the work in general terms (for example "a 40,000-line Laravel app"), without naming you or showing your code.

10. Liability

To the extent the law allows:

  • our total liability for any order is limited to the amount you paid for that order (for Keep Current, the fees paid in the 3 months before the claim);
  • we are not liable for lost profits, lost revenue, lost data, or indirect or consequential losses;
  • apart from the guarantee in section 6, the Upgrade is provided without other warranties, express or implied.

Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud.

11. Ending an order

You can cancel an order before we start work for a full refund. After work has started, the Refund Policy applies. We may decline or cancel an order (with a full refund) if the code is materially different from what was scanned, if we cannot access what we need, or if the work would break the law.

12. Changes to these terms

We may update these terms. The version in force when you accept a quote applies to that order. We'll email Keep Current subscribers 30 days before any change that affects them.

13. Law and disputes

These terms are governed by the laws of South Africa, and disputes go to its courts. This doesn't take away any right the law where you live gives you to bring a claim in your local courts.
